DEED OF DEDICATION OF TEMPORARY EASEMENTS
KNOW ALL MEN BY THESE PRESENTS: That the undersigned, SC RESIDENTIAL,
LLC, a Colorado limited liability company("Grantor"), being the owner of certain real property
(the "Property") located in Larimer County, Colorado which is legally described in Exhibit A-1
attached hereto and by this reference made a part hereof and is depicted in Exhibit A-2 attached
hereto, in consideration of Ten Dollars ($10.00) in hand paid, receipt of which is hereby
acknowledged, and other good and valuable consideration, does hereby grant to the City of Fort
Collins, Colorado, a Municipal Corporation ("City"), whose mailing address for purposes of this
deed is P.O. Box 580, Fort Collins, CO 80522, the easements described below.
1. TEMPORARY DRAINAGE EASEMENTS.
1.1 Grant of Temporary Drainage Easements. Grantor does hereby dedicate, transfer
and convey to the City, its assigns, and their agents, employees, contractors, and subcontractors,
temporary drainage easements (the "Drainage Easements") to use those portions of the Property
(the "Drainage Areas") legally described in Exhibits B-3, C-3, and E-1 and depicted in Exhibits
Exhibits B-4, CA and E-2 attached hereto. The Drainage Area described in Exhibit B-3 and
depicted in Exhibit B-4 shall be used as a temporary detention pond (the "Detention Pond Area")
for the detention of storm water runoff from the west side of Joseph Allen Drive. These Drainage
Easements grant the City, its successors and assigns the right and privilege to construct, reconstruct,
inspect, alter, improve, remove, repair and maintain the Drainage Easements, including all rights
and privileges necessary or convenient for the full enjoyment and use thereof for the
above -mentioned purposes, including but not limited to the right of ingress and egress over
adjoining Property for the purpose of exercising the easement and rights herein granted.
1.2 Construction and Maintenance of the Detention Pond. Grantor shall construct
and install a detention pond within the Detention Pond Area as per the Final Development Plan
Documents (the "Development Plan Documents") approved by the City for Spring Creek Farms
North Filing No. 2. Construction of the detention pond shall commence and be completed with the
construction of the Joseph Allen Drive pursuant to the Development Plan Documents. Grantor shall
maintain the detention pond in good working order. Good working order is defined as maintaining
the detention pond and its side slopes free of debris, impoundments or alterations to the flow of
drainage so that the proper functioning of the detention pond is not interfered with. Grantor will not
make any changes in size, shape, capacity, rate of flow, rate of outflow, or changes in any other
characteristics of the detention pond without the prior written approval of the City.
1.3 Failure to Construct or Maintain. Upon failure of Grantor to construct or to
properly maintain the detention pond in good working order as stated above, the City is hereby given
the right to construct and/or maintain the detention pond, effective after five (5) days written notice
to Grantor. After notice, should Grantor fail to timely construct or properly maintain the detention
pond in good working order, the City is hereby granted the immediate right of entry to perform all
necessary construction, repairs, maintenance, and reconstruction to construct, maintain or restore
the detention pond to its proper working order.

Any and all costs for repair, reconstruction, and/or maintenance made by the City shall be
paid by the Grantor. Failure by the Grantor to pay City's costs incurred within a reasonable period
of time, not to exceed thirty (30) days, shall cause the costs to be assessed against Grantor's Property
as a lien pursuant to City's Municipal Code.
1.4 Term of the Drainage Easements. The term of the Drainage Easements shall
commence with the issuance of a development construction permit for the installation of Joseph
Allen Drive along the east boundary of the Property and shall continue until the completion and
acceptance by the City of the development of the Property pursuant to an approved plan of
development or other written agreement with the City.
2. TEMPORARY GRADING EASEMENTS.
2.1 Grant of Temporary Grading Easement. Grantor does hereby dedicate, transfer
and convey to the City, its assigns, and their agents, employees, contractors, and subcontractors, a
temporary grading easement (the "Grading Easements") in and to those portions of the Property
(the "Grading Easement Areas") described in Exhibits C-1 and D-1 attached hereto and
incorporated herein by this reference. The Grading Easement Areas are depicted in Exhibits C-2
and D-2 attached hereto. The Grading Easements shall be used by the City or its assignee(s) in
connection with the construction of Spring Creek Farms North Filing No. 2, the construction of a
park (the "Private Park") within Tract A, Spring Creek North Filing No 3, and the construction of
certain improvements within and adjacent to East Drake Road and Joseph Allen Drive. These
Grading Easement grant the City, its successors and assigns the right of ingress and egress over
adjoining Property for the purpose of exercising the easement and rights herein granted.
2.2 Assignment of Grading Easements. The City shall have the right to assign the
foregoing Grading Easements to any person or entity responsible for the installation of the Private
Park and improvements for Spring Creek Farms North Filing No. 2.
2.3 Term of the Grading Easement. The term of the Grading Easement shall
commence on the earlier date of the City's approval of Spring Creek Farms North Filing No. 2 or
the City's approval of the Private Park. The Grading Easement shall terminate on the later date of
(a) the inspection and approval by the City of the Private Park after it is constructed in accordance
with plans approved by the City, or (b) the issuance of the first certificate of occupancy for a
building constructed in Spring Creek Farms North Filing No. 2.
3. MISCELLANEOUS PROVISIONS.
3.1 Statement Reizarding Development of the Property. At a future date, the Grantor
plans to develop the Property in accordance with Final Development Plan Documents and a
Development Agreement (collectively, the "Development Agreements") as may be later approved
by the City. If the Drainage Easement and the Grading Easement have not been vacated or
terminated by the time the Development Agreements are approved by the City, the Grantor intends
to incorporate a drainage plan and a grading plan into the Development Agreements which will then

supercede the Drainage Easement and the Grading Easement, and the Grantor intends to request that
the City vacate the Drainage Easement and the Grading Easement at that time. '
3.2 Successor and Assi rgns. The rights granted to the City by this Deed inure to the
benefit of the City's agents, licensees, permittees and assigns. Notwithstanding the foregoing, the
City shall not irrevocably assign its rights hereunder to a third party in a manner which would have
the effect of preventing the City from vacating the easements created hereunder at the time the
Development Agreements are approved.

including, but not limited to gas, electric, telephone lines, fiber optic lines, television cables, and
other public utility distribution facilities. The City's rights under these Easements include the right
to mark the location of the Easements with suitable markers and the right to permit other public
utilities to exercise all of the foregoing rights.
1.2 Grantor's Right To Use. Grantor reserves the right to use the Property for
purposes that do not interfere with the full enjoyment of the rights hereby granted, including
installing driveways and landscaping on the Property.
1.3 Responsibility For Maintenance. The City is responsible for maintenance of its
own improvements and for repairing any damage caused by its activities in the Easements, but by
acceptance of this dedication, the City does not accept the duty of maintenance of the Easements,
or of improvements in the Easements that are not owned by the City. Grantor will maintain the
surface of the Easements in a sanitary condition in compliance with any applicable weed, nuisance
or other legal requirements.
1.4 Prohibited Grantor Uses. Except as expressly permitted in an approved plan of
development or other written agreement with the City, Grantor will not install on the Easements, or
permit the installation on the Easements, of any building, structure, improvement, fence, retaining
wall, sidewalk, tree or other landscaping (other than usual and customary grasses and other ground
cover). In the event such obstacles are installed in the Easements, the City has the right to require
the Grantor to remove such obstacles from the Easements. If Grantor does not remove such
obstacles, the City may remove such obstacles without any liability or obligation for repair and
replacement thereof, and charge the Grantor the City's costs for such removal. If the City chooses
not to remove the obstacles, the City will not be liable for any damage to the obstacles or any other
property to which they are attached.
