GRANT OF SLOPE EASEMENT

RHOADES, INC., A Colorado Corporation, the owner of those lands described
in Exhibit "A attached hereto and incorporated herein by this reference,
for and in consideration of Three Hundred Dollars ($300.00), and other good
and valuable consideration in hand paid by the Grantee to the Grantor, the
adequacy and receipt of which are hereby acknowledged, does hereby grant,
bargain, dedicate, and convey to the City of Fort Collins, Colorado, a
Municipal Corporation, its successors, assigns, and invitees, the
above -mentioned property for the purposes of a permanent easement for
adjacent support and slope for Prospect Road and the bridge of Prospect
Road across Spring Creek in accordance with the plan and profile of Federal
Aid project number BRM 5026(1) for Prospect Road, Fort Collins, Colorado.
In addition, thereto, Grantor grants to the Grantee a temporary
construction easement described in Exhibit "A". Said temporary
construction easement shall terminate upon completion of construction.
As a condition to the granting of these easements, the Grantee covenants
and agrees that:
1) Grantor will not be prevented from constructing improvements on
that portion of said constructed slope easement which is not
already encumbered by a six foot utility easement as shown on the
plat of Centerpoint Park which is recorded in Book 2116, Page 569
of the Larimer County Records. However, the Grantor may not
increase the slope to steeper than three to one.
2) Landscaping or other improvements will be restored to a level
comparable with their existing condition.

A permanent easement over a piece of land lying within Track A of the Plat
of Centerpoint Park, situate in the Southwest � of Section 17 and in the
North i of Section 20, Township 7 North, Range 68 West of the 6th P.K.,
Fort Collins, Larimer County, Colorado, described as follows:
Beginning at the most northeasterly point of that interest described in
Book 2282, Page 52, records of said county, said point lying on the
southerly right-of-way line of East Prospect Street as described in said
plat; thence South 87°52'49" East, along said right-of-way line, 205 feet;
thence South 2°07'11" West, at right angles to said line, 5 feet; thence
South 86003156" West, a distance of 132.74 feet to the south line of the
north 19 feet of said Tract A; thence North 85°59'07" West, a distance of
80.61 feet to the east line of said interest, thence North 26°57'36" East,
along said east line, 18 feet to the point of beginning.
The above described permanent easement contains 2946 square feet, more or
less.
A temporary easement over a piece of land lying within Track A of the Plat
of Centerpoint Park, situate in the Southwest 4 of Section 17 and in the
North i of Section 20, Township 7 North, Range 68 West of the 6th P.M.,
Fort Collins, Larimer County, Colorado, described as follows:
Commencing at the most northeasterly point of that interest described in
Book 2282, Page 52, records of said county, said point lying on the
southerly right-of-way line of East Prospect Street as described in said
plat; thence South 87°5249" East, along said right-of-way line, 205 feet;
thence South 2°07'11" West, at right angles to said line, 5 feet to the
point of beginning; thence South 86°03'56" West, a distance of 132.74 feet
to the south line of the north 19 feet of said Tract A; thence North
85°59'07" West, a distance of 80.61 feet to the east line of said interest;
thence South 26°57'36" West, along said east line, 6 feet; thence South
86°20'58" East, a distance of 83.11 feet to the south line of the north 24
feet of said Tract A; thence North 86°03'56" East, a distance of 132.74
feet; thence North 2°07'11" East, a distance of 5 feet to the point of
beginning.
The above described temporary easement contains 1090 square feet, more or
less.
