EASEMENT AGREEMENT
1. The undersigned Grantor for and in consideration of the agreement provisions
set for in paragraph 2 and other good and valuable consideration, does hereby grant and
convey unto Lagunitas Fossil Creek, Inc., whose address is 3307 South College Avenue,
Suite 200, Fort Collins, Colorado 80525 (the "Grantee"), its successors, assigns, lessees,
licensees and agents, a non-exclusive, perpetual easement for storm drainage sheet flows
of up to 24.66 cubic feet per second (cfs) from Lots 9 through 15, Cameron Park, Second
Filing, together with storm drainage sheet flows of up to 3.81 cfs originating from the
property to the north of the same, across all of the hereinafter described real property fully
described on Exhibit "A" attached hereto and by this reference made a part hereof (the
"Property").
2. Inconsideration for the foregoing drainage easement, Grantee agrees that at the
earlier of such time as Grantee, its successors in interest or assigns, receives approval of
the proposed Vaught -Frye Architects (Job No. 96-04) Fossil Creek Office Park West
Preliminary Development Plan, dated January 12, 1996, or January 1, 2002, Grantee, its
successors or assigns, shall pay to Grantor the sum of Sixteen Thousand Seven Hundred
and Five Dollars ($16,705.00) in cash funds or such other form as may be reasonably
acceptable to Grantor at that time. Upon receipt of the consideration set forth herein,
Grantor agrees to execute and deliver the drainage easement attached hereto as Exhibit
"B" and incorporated herein by this reference, unless all or a portion of the property
benefitted by said easement has been conveyed to Grantor at that time.
3. Grantee shall be responsible for all damages caused to Grantor or Grantor's
property arising from the Grantee's exercise of the rights herein granted, including, but not
limited to, any damage resulting from flows in excess of that permitted hereunder or from
the flow of any substance or waste regulated under federal, state or local law from Lots 9
through 15. Grantee agrees to indemnify and hold Grantor harmless from any claim, loss
or damage, including reasonable attorney's fees, arising out of or in any way associated
with Grantee's use of the easement. In addition, the Grantee shall not exercise any rights
herein granted that shall interfere, hinder or in any way disrupt the Grantor's use of
Grantor's property. The Grantor reserves the right to occupy and use said easement for
all purposes not inconsistent with the rights herein granted. The rights, conditions and
provisions of this easement shall inure to the benefit of and be binding upon the heirs,
executors, administrators, successors and assigns of the respective party.

A parcel of land being a portion of Lot 13 of Cameron Park Second Filing as recorded in
Book 2113, Page 1611 of the Records of Latimer County, a subdivision located within
Section 2, Township 6 North, Range 69 West of the 6th P.M., City of Fort Collins,
County of Larimer, State of Colorado, and more particularly described as follows:
COMMENCING at the Northeast Comer of Lot 13 of Cameron Park Second Filing and
assuming the Northerly line of said Lot 13 as bearing North 88045'37" West with all
bearings herein relative thereto:
