This letter will confirm that FC Timberline Development, LLC ("Timberline"), the owner
of the Harmony Marketplace Shopping Center (the "Shopping Center"), is willing to
grant easements and rights -of -way necessary for the extension of Pavilion Lane to JFK
Parkway and for access to the proposed parking lot of the Goodwill Industries parcel to
the north of the Shopping Center (the "Goodwill Parcel") from the existing service drive
along the north side of the Shopping Center behind the King Soopers building, generally
as shown on the attached plans. These easements will be established by a recordable
instrument reasonably acceptable to both Timberline and Goodwill Industries,
containing the following provisions:
1. Timberline shall have no obligation to pay any portion of the costs associated
with the extension of Pavilion Lane, including without limitation removal of the
existing cul-de-sac.
2. Goodwill Industries will be solely responsible for any upgrading of the service
drive required by the City of Fort Collins at its sole expense. The plans for such
work shall be provided to Timberline in advance for review and comment.
3. Goodwill Industries will use its best efforts to minimize disruption of traffic to the
Shopping Center arising from the work on the Pavilion Lane cul-de-sac and the
service drive.
4. Goodwill Industries shall be obligated to pay an equitable portion of future
expenses associated with maintenance of the service drive.
5. Goodwill Industries shall agree that use of the service drive for access to the
Goodwill parking lot shall not result in substantial interference with operation of
the Shopping Center (including overloading of the Shopping Center trash
containers or dumping of refused items on the Shopping Center property). The
easement agreement will contain provisions providing protections and remedies
for Timberline against these sorts of problems.

Second, I added the 4' detached walk to the west ofthe 'open space' and the associated handicap
ramps. is what I've shown okay?
Iliird, I removed the sidewalk along the north side of Pavilion Lane. Does the City want Goodwill
to construct the ramp on the northwest comer of Pavilion Lane and J.F.K. Parkway?
