AMENDMENT AGREEMENT NO. 1
THIS AMENDMENT AGREEMENT made and entered into this �7T H day of
ApX j L 2005, by and between the CITY OF FORT COLLINS, COLORADO, a
municipal corporation, ('`City"), and South Harmony LLC., a Colorado limited liability company,
("Developer").
WITNESSETH:
WHEREAS, the City entered into a Development Agreement with South Harmony LLC,
a Colorado limited liability company (as "Developer") and Electric Equipment and Engineering
Co., Employee Profit Sharing Trust, (as "Owner") on January 28, 2002, the terms of which
govern the development activities of the Developer pertaining to that certain real property
situated in the County of Larimer, State of Colorado, (hereafter referred to as the "Property") and
legally described as follows, to wit:
Brookfield, a tract of land located in Section 4, Township 6 North, Range 68 West
of the 6th P.M., City of Fort Collins, County of Larimer, State of Colorado.
WHEREAS, the Developer has acquired all rights of ownership in the Property from
Electric Equipment and Engineering Co., Employee Profit Sharing Trust; and
WHEREAS, the parties presently desire to modify the Development Agreement:
NOW, THEREFORE, in consideration of the promises of the parties hereto and other
good and valuable consideration, the receipt and adequacy of which are hereby acknowledged,
the parties hereto agree to amend the terms and conditions of the Development Agreement as
follows:
A. Subheading II (Special Conditions) Paragraphs D.6 shall be replaced with the following
paragraph to read as follows:
6. Prior to the release of more than six building pen -nits in Phase 1 the
Developer shall have completed construction of the access path that runs north -south
along the eastern boundary and east -west along the southern boundary of Phase I in
accordance with the Final Development Plan Documents. Prior to the release of more
than five building permits in Phase 3 the Developer shall have completed construction of
the access path that runs north -south along the eastern boundary of Phase 3 in accordance
with the Final Development Plan Documents.
B. All other terms and conditions of the Development Agreement shall remain unchanged and in
full force and effect, except as expressly amended in this Amendment Agreement No. 1.

written.
