Grant of Temporary Construction Easement. The Grantors hereby grant to the Grantee, a temporary construction easement ("Construction Easement") over, across, and upon the real property legally described on Exhibit "A-1" and depicted on Fxhibit "A-2" attached hereto and incorporated herein by reference ("Easement Area") for construction proposes, including, but not limited to, the storage and stockpiling of constriction materials and construction equipment and vehicles for the construction, installation, repair and remodel of improvements upon the real property known as the Harmony Sport Shops Building Condominiums situate in Lot 1, Harmony Market P.U.U., Tenth Filing, City of Fort Collins, County of Larimer. The term of the Construction Easement shall be for a periodl of six (6) months commencing on the date upon which a City building permit is issued for the repair or remodel of existing improvements or the installation or construction of new improvements upon Parcel 2 and terminating upon the earlier of (i) six (6) months following the issuance of such building permit; or (ii) the cessation of construction activities upon Parcel 2, provided, however, in no event shall the Construction Easement continue beyond the second (2ni1) anniversary of the date of this Agreement. 3, Indemnification. The Grantee agrees to indemnify and hold harmless the Grantors, their managers, members and tenants, from all claims and liability, including, without limitation, reasonable attorneys' fees and costs, for claims made by third parties for personal injury, death and/or property damage resulting from or arising out of the Grantee's use of the Construction Easement, including the constriction, installation, operation, repair, maintenance or removal of improvements within the Easement Area and for any acts or omissions by the Grantee in violation of this Agreement. 4. Parking Improvements. As partial consideration for the granting of the Construction Easement, the Grantee hereby agrees with the Grantors to return the Easement Area to the Grantors in substantially the same condition as existed on the date of this Agreement, subject to the following: A. The Grantee shall enlarge the landscape island located in the northeast corner of Parcel 1 by extending it approximately fifteen (1'5) feet to the east, resulting in the elimination of two (2) parking spaces on Parcel I, as depicted on Fxhibit "B" attached hereto and incorporated herein by reference. B. The Grantee shall eliminate the traffic island depicted on Exhibit "B" and shall resurface and stripe said area, resulting in an increase of three (3) parking spaces on Parcel 1. C. Following the elimination of the two (2) parking spaces as set forth in subparagraph A and the creation of three (3) parking spaces as set forth in' subparagraph B above, Parcel 1 shall have a net gain of one (1) parking space. D. The Grantee shall be responsible for all design and construction costs for the enlargement of the traffic island and removal of the traffic island as set forth in this Section 4. The Grantee may authorize the use of the Construction Easement by his affiliates, contractors, employees, agents and others performing work on Parcel I or 2. G. Recordation. The Grantee may record this Agreement in the records of the Clerk and Recorder of Larimer County, Colorado. 7, Colorado Law. This Agreement shall be construed and interpreted in accordance with the laws of the State of Colorado. 8. Bindink; Effect. This Agreement and all terms and conditions hereof shall extend to and be binding upon the parties hereto, their heirs, personal representatives. administrators, successors and assigns.
