RE: Foothills Mall Metro District Board of Directors
The purpose of this memo is to answer two questions from Leadership Planning Team related to the
resolution appointing a Board of Directors for the Foothills Mall Metropolitan District. Leadership
Planning Team asked if this resolution re-appoints the same representatives from the receiver and what
makes them eligible for re-appointment.
Foothills Mall entered receivership in December 2020. As such, the Foothills Mall Metropolitan District
appointed two members of the receiver to their Board of Directors. Due to an inadvertent conveyance of
property during receivership proceedings, however, the Board was vacated.
The resolution appointing a Board of Directors for the Foothills Mall Metropolitan District will re-
appoint the two Board members representing the receiver along with a Board member representing the
existing property owner as originally intended. A new purchase and sales agreement for a new parcel of
property within the district re-qualifies each member for appointment to the Board.
