RECOMMENDATION: Staff recommends adoption of the Ordinance on First Reading. EXECUTIVE SUMMARY: The Boards and Commissions Manual contains a section on "Quorums" which states: "A quorum consists of the majority of the total number of members specified by the City Code to comprise the board or commission. This quorum requirement does not change even if a position on the board or commission is vacant and the City Council has not appointed a replacement." It has come to staff's attention that some boards and commissions may have bylaws that are inconsistent with this provision. While the Code currently provides that bylaws cannot be inconsistent with the City Charter and City Code, staff is recommending this Code amendment to clarify that bylaws also cannot be inconsistent with any policies adopted by the Council, such as the one cited above. • ORDINANCE NO. 104, 2002 OF THE COUNCIL OF THE CITY OF FORT COLLINS AMENDING CERTAIN SECTIONS OF CHAPTER 2 OF THE CITY CODE RELATING TO BOARD AND COMMISSION BYLAWS WHEREAS, the City currently has several boards and commissions appointed by the City Council; and WHEREAS,pursuant to Chapter 2 of the City Code,boards and commissions of the City of Fort Collins may adopt bylaws which shall not be inconsistent with the Charter and the Code; and WHEREAS, the Council wishes to amend the City Code to further state that bylaws shall not be inconsistent with any other policies that may be established by the Council. NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF FORT COLLINS as follows: Section 1. That Sections 2-84, 2-95, 2-104, 2-120, 2-141, 2-204, 2-234, 2-239, 2-294, 2-309, 2-339, 2-354, 2-399, 2-421, 2-430, 2-439, 2-454, and 21-29 of the Code of the City of Fort Collins relating to bylaws for boards are hereby amended to read as follows: • Officers; bylaws. The board shall elect annually from its membership a chairperson and such officers as may be required.Bylaws may be adopted by the board, which bylaws shall not be inconsistent with the Charter,=d the Code,dr,atb rpolicies that may be established by the City`Council. A copy of the bylaws shall be filed with the City Clerk for the use of the City Council immediately after adoption by the board, and the same may be subject to the approval of the City Council. Section 2. That Sections 2-154, 2-169, 2-264, and 2-279 of the Code of the City of Fort Collins relating to bylaws for commissions are hereby amended to read as follows: Officers; bylaws. The commission shall elect annually from its membership a chairperson and such officers as may be required. That Section 2-184 of the Code of the City of Fort Collins relating to bylaws for the Community Development Block Grant Commission is hereby amended to read as follows: Officers; bylaws. A copy of the bylaws shall be filed with the City Clerk for the use of the City Council immediately after adoption by the commission,and the same may be subject to the approval of the City Council. Section 4. That Section 2-447 of the Code of the City of Fort Collins relating to bylaws for the Youth Advisory Board is hereby amended to read as follows: Officers; bylaws. The board shall elect annually from its membership achairperson, vice-chairperson and such other officers as may be deemed necessary by the board.The chairperson and vice- chairperson shall be under the age of twenty-one (21) years at the time of election.
