SUBJECT
Resolution 2008-043 Appointing Councilmember Lisa Poppaw to Serve as a City Representative
on the Board of Directors of Beet Street.
RECOMMENDATION
Staff recommends adoption of this Resolution.
EXECUTIVE SUMMARY
This Resolution authorizes Councilmember Lisa Poppaw to represent the City as a member of the
Board of Directors of the Beet Street nonprofit corporation.
BACKGROUND
The Downtown Development Authority("DDA")is in the process of developing a cultural program
known as Beet Street(the"Program")the purpose of which is to foster the established performing
arts, local culture and participative sciences community, and intellectual, cultural, physical and
spiritual rejuvenation and growth in downtown Fort Collins through education, participation and
entertainment,all consistent with the statutory purposes of the DDA. The DDA Board believes that
the success of the Program will be realized by the formation of a nonprofit organization to manage
the Program since its status as a nonprofit will make additional funding sources available for the
Program and allow the organization to conduct fundraising efforts and facilitate grant programs.
In addition,having the nonprofit organizational structure in place will aid in the eventual transition
to independence from DDA Board oversight and public funding.
Accordingly,the DDA pursued the formation of this separate entity and on November 30,2007,the
Secretary of the State of Colorado issued a Certificate of Good Standing designating Beet Street as
a nonprofit corporation.
The DDA Board also believes that the membership of the board of this new organization should
include members of the DDA Board in order to ensure fulfillment of and consistency with the
purposes and objectives of the Program and the DDA. By adoption of Resolution 2007-087 on
September 18, 2007, the City Council authorized the members of the DDA Board to serve as
members of the Beet Street organization and found that their future service in that capacity would,
for the term of their appointment as DDA Board members,be within the scope of their service with
the City for the purposes of indemnification.

In addition to having DDA members serve on the board of directors of Beet Street,the Beet Street
Board has elected Councilmember Lisa Poppaw to serve as an additional member of the Board, as
of May 1, 2008. Section 2-570(b) of the City Code states that the City Council may, in its
discretion,appoint any number of its own members to serve as City representatives to,or members
ofthe boards of directors of,other governmental or private agencies. Since Councilmember Poppaw
is not a member of the DDA Board, it is necessary for the City Council to separately approve her
service on the Beet Street Board of Directors, pursuant to the provisions of said Code section.

OF THE COUNCIL OF THE CITY OF FORT COLLINS
APPOINTING COUNCILMEMBER LISA POPPAW TO SERVE AS A CITY
REPRESENTATIVE ON THE BOARD OF DIRECTORS OF BEET STREET
WHEREAS,the members of the Downtown Development Authority board of directors(the
"DDA Board")are appointed by the City Council pursuant to the provisions of Section 2-462 of the
City Code to supervise and control the affairs of the Downtown Development Authority ("DDA")
as authorized by Section 31-25-805, C.R.S.; and
WHEREAS, by adoption of Resolution 2007-087 on September 18, 2007,the City Council
authorized the members of the DDA Board to also serve as members of a non-profit organization
to be formed for the purpose of directing the activities of the 'Beet Street" program, sponsored by
the DDA,and found that their future service in that capacity would,for the term of their appointment
as DDA Board members, be within the scope of their service with the City; and
WHEREAS, such finding was made for the purpose of indemnifying the DDA Board
members,to the extent permitted by law, from liability for acts and omissions occurring during the
performance of their duties as the board of directors of said non-profit organization, subject to the
provisions and limitations contained in Chapter 2, Article VII, Division 6 of the City Code and
Section 24-10-101, et. seq., C.R.S.; and
WHEREAS,Beet Street,a non-profit corporation has been formed as anticipated and has its
own board of directors (the "Beet Street Board" or`Board"); and
WHEREAS,in addition to having DDA Board members serve on the Beet Street Board,the
Board has,pursuant to its bylaws,elected Councilmember Lisa Poppaw as an additional member of
the Board, as of May 1, 2008; and
WHEREAS, the City Council believes that the service of Councilmember Poppaw in that
capacity is in the best interests of the City; and
WHEREAS, Section 2-570(b) of the City Code states that the City Council may, in its
discretion, appoint any number of its own members to serve as City representatives to,or members
of the boards of directors of, other governmental or private agencies; and
WHEREAS, since Councilmember Poppaw is not a member of the DDA Board, it is
necessary for the City Council to separately approve her service on the Beet Street board of directors,
pursuant to the provisions of said Code section.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF FORT
COLLINS that Councilmember Lisa Poppaw is hereby appointed by the Council, nunc pro tunc as
of May 1, 2008, to serve as a representative of the City on the board of directors of Beet Street, a
non-profit corporation,and that such service shall be considered within the scope of her employment
as a Councilmember and in furtherance of her official duties for the City.
Passed and adopted at a regular meeting of the Council of the City of Fort Collins this 6th
