EXECUTIVE SUMMARY The purpose of this item is to request Council approval for the first amendment to an existing Intergovernmental Agreement (IGA) between the City of Fort Collins and the Downtown Development Authority (DDA) for renovation and redevelopment of Tenney Court North and West Oak Street Alleys. The Amendment will authorize the DDA to install Alley Enhancements on City-owned property located at 144 North Mason Street, which contains the Civic Center Parking Structure and abuts Tenney Court North Alley. STAFF RECOMMENDATION Staff recommends adoption of the Resolution. BACKGROUND / DISCUSSION The existing IGA as approved at the January 5, 2021, Council meeting is the fourth such IGA for these kinds of enhancements pursuant to a Master Plan. On January 10, 2008, the Board or Directors of the DDA commissioned Russell + Mills Studios to prepare a Master Plan for Downtown A lleys and Integrated Walkways for the redevelopment of designated alleys within the boundaries of the DDA. The purpose of the Master Plan was to propose improvements to certain alleyways located in or adjacent to the DDA’s boundaries to address deterioration, safety, parking, incompatibility of modes of travel and trash collection practices. The Tenney Court North and the West Oak Street Alleys need substantial renovation and redevelopment, and the alley enhancements will provide aesthetic and economic benefits to the area encompassed by the City and the DDA. The City and the DDA have formulated a Basis of Design to clarify design expectations for redevelopment of the alleys and future alley enhancement projects in downtown Fort Collins. Overall, the architectural concepts in the Basis of Design are meant to enhance the local character and provide for enhanced pedestrian uses of the alley spaces. Additional architectural goals include encouraging additional outdoor uses, inspiring redevelopment on adjacent private land, ensuring emergency access where applicable, creating special trash collection strategies for each alley, and implementing shared street models to allow vehicular access, including business deliveries and trash haulers, in a controlled and integrated manner. The alley enhancements for this IGA were designed in accordance with the Basis of Design and current Larimer County Urban Area Street Standards (LCUASS). Additionally, the alley enhancements proposed under this IGA have been awarded through the City’s competitive bidding process and standard contract forms through the City’s Purchasing Department. The contract for construction services for this work is between the DDA and the contractor and shall be constructed in accordance with the Basis of Design, LCUASS, and all applicable City standards and requirements for public rights-of-way. Agenda Item 10 Item # 10 Page 2 The reason for the amendment to the existing IGA is as follows: The DDA has determined there are narrow strips of land owned by the City along both the east and south sides of the Civic Center Parking Structure that is outside of the alley right-of-way. The alley enhancement plans call for paver and landscape features and associated supporting infrastructure to be installed in these areas. In addition, the plans call for installation of various improvements attached to the east and south facades of the parking structure (i.e. themed vinyl “decal” building wrap, hanging planters, festoon lighting supports, updated and retrofitted lighting, and security cameras). The plans have received approval through the City’s capital project process. However, the existing IGA only permits the alley enhancements to be constructed in the alley right-of-way and to accomplish the plan the existing IGA needs to be modified. The DDA installs similar improvements within private property and on private building facades by negotiating agreements with property owners. Permission from the City is needed to install improvements in the City owned property outside the right-of-way and on the façade of the parking structure. As with all previous alley enhancement projects and as stated in the existing IGA approved January 5, 2021, the DDA would install the enhancements to the City property, they would be owned by the City and maintained by the DDA. Anticipated construction timeline for DDA Alley Enhancements Project Installations: April 2021 - November 2021. CITY FINANCIAL IMPACTS The total cost for the City is $300,000 in previously appropriated and eligible General Improvement District funds as a contribution toward the cost of the Alley Enhancements. The DDA agrees that it shall expend such funds only on the Alley Enhancements. BOARD / COMMISSION RECOMMENDATION On February 17, 2021, the Landmark Preservation Commission unanimously approved the alley designs for the Tenney Court North and West Oak Street alleys. PUBLIC OUTREACH The DDA has conducted outreach regarding these Alley Enhancements from March 2020 until now. This includes outreach and coordination with all adjacent businesses/building owners, two presentations to the Landmark Preservation Commission (October 2020/February 2021) and the Commission on Disabilities in January 2021 for comment and affirmation of designs. Our determination to hold this meeting remotely was made in compliance with City Council Ordinance 79 2020.” 1.TENNEY COURT NORTH AND WEST OAK STREET ALLEYS CAPITAL PROJECTS REVIEW DESCRIPTION: The applicant is seeking conceptual review comments from the Landmark Preservation Commission for improvements to two alleys: Tenney Court North and West Oak Street. APPLICANT: Downtown Development Authority Mr. Dunn recused himself from this item stating his company did the survey for the project. Staff Report Ms. Bzdek briefly introduced the item noting the LPC does act as a decision maker when alley Landmark Preservation Commission ATTACHMENT 1 Landmark Preservation Commission Page 2 February 17, 2021 improvements impact designated historic resources. She stated staff’s assessment is that the proposed improvements will have no direct impact on the only historic landmarked property abutting the work, which is the Armstrong Hotel. Applicant Presentation Todd Dangerfield, Downtown Development Authority, gave a brief overview of the project, progress, and timeline. Kara Scohy, Norris Design, shared a video about the history of the alleys and evolution of the design. Public Input None. Commission Questions and Discussion Chair Dunn asked about the transformer box on Olive at the Armstrong. Mr. Dangerfield replied it will remain. Chair Dunn asked how pedestrians will be kept from falling into stairwells near Jay’s Bistro . Mr. Dangerfield replied some of that will be corrected when the alley paving is redone as grades will change. He noted the main issue with rear step entries has always been water infiltration and the grade changes will help with positive draining. He stated planters and enhanced lighting will also guide pedestrians away from stairwells. Commission Deliberation Mr. Murray moved that the Landmark Preservation Commission finds the proposed alley improvements to Tenney Court and West Oak Street Alleys have no effect on the setting of the Armstrong Hotel, an abutting designated Fort Collins landmark, and therefore the work does not constitute alterations requiring review under Chapter 14, Article IV – Design Review of Proposed Alterations to Designated Resources. Ms. Nelsen seconded. The motion passed 6-0. Chair Dunn commended the DDA on its efforts to add art and pedestrian-friendly features in these projects and stated the historic downtown is enhanced by those efforts. Mr. Dunn returned to the meeting. -1- RESOLUTION 2021-068 OF THE COUNCIL OF THE CITY OF FORT COLLINS AUTHORIZING THE EXECUTION OF THE FIRST AMENDMENT TO INTERGOVERNMENTAL AGREEMENT REGARDING THE RENOVATION AND REDEVELOPMENT OF TENNEY COURT NORTH ALLEY AND WEST OAK STREET ALLEY WHEREAS, on January 10, 2008, the Board of Directors of the Downtown Development Authority, a body corporate and politic (the “DDA”), commissioned Russell + Mills Studios (“R+M”) to prepare a Master Plan for Downtown Alleys and Integrated Walkways for the redevelopment of designated alleys within the boundaries of the DDA (the “Master Plan”); and WHEREAS, the purpose of the Master Plan was to propose improvements to certain alleyways located in or adjacent to the DDA’s boundaries to address deterioration, safety, parking, incompatibility of modes of travel and trash collection practices, leading to a more visually pleasing appearance in the alleyways and a “shared street” concept whereby the alleyways would be more conducive to vehicle, pedestrian and bicycle traffic, and provide greater connectivity between Fort Collins Downtown, the Colorado State University campus and the Fort Collins River District; and WHEREAS, on May 18, 2010, the Fort Collins City Council adopted Resolution 2010- 027 authorizing the City Manager to execute the intergovernmental agreement by and between the City and the DDA relating to the construction, operation and maintenance of the Montezuma Fuller Alley and Old Firehouse Alley improvements (the “2010 IGA”); and WHEREAS, on February 1, 2011, the Fort Collins City Council adopted Resolution 2011-006 authorizing the City Manager to execute a separate IGA with the DDA relating to the construction, operation, and maintenance of the West Myrtle Alley (the “2011 IGA”); and WHEREAS, in 2014 the DDA and the City negotiated and agreed upon that certain “Intergovernmental Agreement Regarding Maintenance of Certain Downtown Alleys”, under which the DDA pays the City to perform certain maintenance services within the alleys redeveloped under the 2010 IGA and 2011 IGA (the “Maintenance IGA”); and WHEREAS, the construction of the Alley Enhancements is consistent with and in furtherance of the Downtown Plan; and WHEREAS, on January 5, 2021, the Fort Collin City Council adopted Resolution 2021- 001, authorizing the City Manager to execute an intergovernmental agreement with the DDA relating to the renovation and redevelopment of Tenney Court North Alley and West Oak Street Alley (the “2021 IGA”); and WHEREAS, on January 29, 2021, the City and the DDA entered into the 2021 IGA; and -2- WHEREAS, pursuant to the 2021 IGA, the City authorized the DDA to construct Alley Enhancements within City rights-of-way located within Tenney Court North Alley and West Oak Street Alley; and WHEREAS, the Alley Enhancements were approved through the City’s Capital Projects Review Process; and WHEREAS, certain of the Alley Enhancements for Tenney Court North Alley are outside of the alley right-of-way and include improvements to the City-owned property located at 144 North Mason Street, which contains the Civic Center Parking Structure and abuts Tenney Court North Alley (the “Mason Street Property”); and WHEREAS, the Alley Enhancements approved envisioned for the Mason Street Property generally consist of installation of concrete pavers, benches, landscaping planters and other features on surface areas abutting Tenney Court North Alley; and installation of festoon lighting attachments, wall-mounted planter baskets, new and replacement LED lighting, and a mural along the north, east and south facades of the Civic Center Parking Structure; and WHEREAS, the Mason Street Property is not a right-of-way and the construction of Alley Enhancements on such property is not authorized by the IGA; and WHEREAS, the City and DDA desire to enter into the First Amendment to the 2021 IGA substantially in the form attached hereto as Exhibit “A” and incorporated herein by reference (the “First Amendment”) to permit completion of the Alley Enhancements on the Mason Street Property, clarify the maintenance obligations originally set forth on Exhibit C to the 2021 IGA; and make other modifications as set forth therein; and WHEREAS, Article II, Section 16 of the City Charter empowers the City Council, by ordinance and resolution, to enter into contracts with governmental bodies to furnish governmental services and make charges for such services, or enter into cooperative or joint activities with other governmental bodies; and WHEREAS, Section 29-1-203 of the Colorado Revised Statutes (“C.R.S.”) also provides that governments may cooperate or contract with one another to provide certain services or facilities when such cooperation or contracts are authorized by each party thereto with the approval of its legislative body or other authority having the power to so approve; and WHEREAS, Section 1-22 of the City Code also provides that intergovernmental agreements and other cooperative arrangements between the City and other governmental entities are to be submitted to the City Council for review, unless they fit within one of the exceptions that permit execution by the City Manager; and WHEREAS, pursuant to C.R.S. Section 31-25-808, the DDA has authority to make public improvements which benefit those downtown areas of Fort Collins within its boundaries; and -3- WHEREAS, pursuant to C.R.S. Section 31-25-808, the DDA is empowered to cooperate with the City and to enter into contracts with the City, including the First Amendment; and WHEREAS, the City Council has determined that the First Amendment of the 2021 IGA to address the Alley Enhancements on the Mason Street Property is in the best interests of the City. NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF FORT COLLINS, as follows: Section 1. That the City Council hereby makes any and all determinations and findings contained in the recitals set forth above. Section 2. That the City Manager is hereby authorized to execute the First Amendment to Intergovernmental Agreement Regarding The Renovation And Redevelopment of Tenney Court North Alley And West Oak Street Alley substantially in the form attached hereto as Exhibit “A,” with such modifications and additions as the City Manager, in consultation with the City Attorney, determines to be necessary and appropriate to protect the interests of the City or effectuate the purposes set forth herein and not otherwise inconsistent with this Resolution. Passed and adopted at a regular meeting of the Council of the City of Fort Collins this 15th day of June, A.D. 2021. _________________________________ Mayor ATTEST: _____________________________ City Clerk 1  FIRST AMENDMENT TO INTERGOVERNMENTAL AGREEMENT REGARDING THE RENOVATION AND REDEVELOPMENT OF TENNEY COURT NORTH ALLEY AND WEST OAK STREET ALLEY This FIRST AMENDMENT TO INTERGOVERNMENTAL AGREEMENT REGARDING THE RENOVATION AND REDEVELOPMENT OF TENNEY COURT NORTH ALLEY AND WEST OAK STREET ALLEY (“Amendment”) is made and executed this ________day of _______________, 2021, by and between the CITY OF FORT COLLINS, COLORADO, a municipal corporation (the “City”), and the FORT COLLINS, COLORADO, DOWNTOWN DEVELOPMENT AUTHORITY, a body corporate and politic (the “DDA”). WITNESSETH: WHEREAS, on January 29, 2021, the City and the DDA entered into that certain intergovernmental agreement entitled “Intergovernmental Agreement Regarding the Renovation and Redevelopment of Tenney Court North Alley and West Oak Street Alley” (the “IGA”); WHEREAS, pursuant to the IGA, the City authorized the DDA to construct Alley Enhancements (as “Alley Enhancements” is defined in the IGA) to City rights-of-way located within Tenney Court North Alley and West Oak Street Alley; WHEREAS, the Alley Enhancements were approved through the City’s Capital Projects Review Process; WHEREAS, certain of the Alley Enhancements outside of the alley right-of-way include improvements to the City-owned property located at 144 North Mason Street, which contains the Civic Center Parking Structure and abuts Tenney Court North Alley (the “Mason Street Property”); WHEREAS, the Alley Enhancements approved for the Mason Street Property generally consist of installation of concrete pavers, benches, landscaping planters and other features on surface areas abutting Tenney Court North Alley; and installation of festoon lighting attachments, wall-mounted planter baskets, new and replacement LED lighting, and a mural along the north, east and south facades of the Civic Center Parking Structure; WHEREAS, the Mason Street Property is not a right-of-way and the construction of Alley Enhancements on such property is not authorized by the IGA; and EXHIBIT A 2    WHEREAS, the City and the DDA desire to enter into this Amendment for the purpose of authorizing the DDA to construct on the Mason Street Property the approved Alley Enhancements envisioned for such Property; and WHEREAS, the City and DDA desire to clarify the maintenance obligations for the Alley Enhancements, including the approved Alley Enhancements for the Mason Street Property, as set forth on Exhibit C to in the IGA. NOW, THEREFORE, in consideration of the mutual promises and other valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties agree that the IGA is hereby amended as follows: 1. Authorization to Construct Alley Enhancements on the Mason Street Property. The City authorizes the DDA to construct the following Alley Enhancements on the Mason Street Property, on the same terms and conditions as all other Alley Enhancements under the IGA, including, by way of reference and without limitation, the DDA’s obligation to maintain such improvements pursuant to Section 4 of the IGA: A. On Areas of the Mason Street Property Abutting North Tenney Court Alley: i. Six (6) concrete planter pots, with a design substantially similar to that depicted on Exhibit A, consisting of one (1) page, attached hereto and incorporated herein by reference, in locations substantially similar to those depicted on Exhibit B, consisting of one (1) page, attached hereto and incorporated herein by reference, and irrigation equipment and materials necessary to serve such planters. ii. Fourteen (14) Embedded, decorative boulders, in locations substantially similar to those depicted on Exhibit B. iii. Two (2) fixed seating benches, with a design substantially similar to that depicted on Exhibit C, consisting of one (1) page, attached hereto and incorporated herein by reference, in locations substantially similar to those depicted on Exhibit B. iv. One (1) steel pedestal box containing an electrical meter, electrical wiring and other electrical materials and equipment necessary for providing electricity to the Alley Enhancements, with a design substantially similar to that depicted on Exhibit D, consisting of one (1) page, attached hereto and incorporated herein by reference, in a location substantially similar to that depicted on Exhibit E, consisting of one (1) page, attached hereto and incorporated herein by reference, and the subsurface installation of associated electrical wiring and related materials and equipment necessary to provide electricity to the Alley Enhancements, as shown in Exhibit D. EXHIBIT A 3    v. Five inch (5”) thick subgrade, traffic-rated concrete pavers, with a design the same as the pavers being installed within the Tenney Court North Alley, in the areas within the Mason Street Property line along the east and south sides of the Civic Center Parking Structure. B. On the Facades of the Civic Center Parking Structure: i. Murals cumulatively consisting of approximately four thousand (4000) square feet of laminated, 3M-brand vinyl wrap printed with the designs and themed images depicted on Exhibit F, consisting of two (2) pages, attached hereto and incorporated herein by reference, in locations substantially similar to those depicted on Exhibit F, which include the southeast elevator tower, as well the east and south facades, of the Civic Center Parking Garage. ii. Removal of ten (10) existing wall-mounted sodium light fixtures and their replacement with nine (9) L.E.D. wall mounted light fixtures, with a design substantially similar to that depicted on Exhibit G, consisting of one (1) page, attached hereto and incorporated herein by reference, in locations substantially similar to those depicted on Exhibit H, consisting of six (6) pages, attached hereto and incorporated herein by reference. iii. Seven (7) security cameras, with a design substantially similar to that depicted on Exhibit I, consisting of one (1) page, attached hereto and incorporated herein by reference, in locations substantially similar to those depicted on Exhibit H, and associated electrical wiring and conduit. iv. Two (2) L.E.D. can light fixtures and two-hundred (200) linear feet of accent rope lighting, with designs substantially similar to that depicted on Exhibit J, consisting of one (1) page, attached hereto and incorporated herein by reference, to be attached to the underside of the pedestrian bridge that spans North Tenney Court Alley between the east façade of the Civic Center Parking Structure and the Opera Galleria Building at 123 North College Avenue, and associated electrical wiring and conduit. v. Fifteen (15) hanging planter baskets, with a design substantially similar to that depicted on Exhibit K, consisting of one (1) page, attached hereto and incorporated herein by reference, in locations substantially similar to those depicted on Exhibit K, and irrigation equipment and materials necessary to serve such planter baskets, including drip line encased in black steel channel. vi. Nine (9) festoon lighting supports, with a design substantially similar to that depicted on Exhibit L, consisting of one (1) page, attached hereto and incorporated EXHIBIT A 4    herein by reference, in locations substantially similar to those depicted on Exhibit H. 2. Amended Exhibit C. Exhibit C to the IGA is hereby deleted in its entirety and the Revised Exhibit C consisting of one page attached here is hereby adopted and incorporated into the IGA by this reference. 3. Additional Amendment. The IGA is hereby further amended by the addition of the following new Section 11: 11. Remedies on Default. Upon the failure of either party to comply with any of its obligations under this IGA (a “Default”), the non-defaulting party shall provide written notice of the Default to the defaulting party. Immediately upon receipt of such notice, the defaulting party shall promptly cure such Default within thirty (30) days, or if not susceptible of cure within thirty (30) days, within such time as agreed upon by the non- defaulting party for the cure of such Default. If the defaulting party fails to cure or remedy the Default within the time period prescribed, the non-defaulting party may enforce any or all of its rights and the obligations of the defaulting party under this IGA by suit in equity or action at law, in Larimer County District Court, whether for the specific performance of any covenants or agreements or otherwise. Each remedy of either party shall, to the extent permitted by law, be cumulative and shall be in addition to any other remedy now or hereafter existing at law or in equity. 4. No Further Amendment. Except as expressly amended by the Amendment, all terms and conditions of the IGA shall remain in full force and effect. EMBED 3" J-BOX, REFER TO ELECTRICAL FESTOON LIGHT ASSEMBLY AND CABLE, REFER TO ELECTRICAL 1 2 3 4 5 6 7 1 2 3 4 1 2 3 4 5 6 5 7 1'-0" Page 7 of 17 EXHIBIT L Exhibits to Amended IGA EXHIBIT A AMENDED EXHIBIT C  Scope of Maintenance Services  The DDA will perform, at its cost and expenses, all maintenance and repair required of Section 4 of the  IGA for the Alley Enhancements installed under this IGA, including but not limited to the improvements  in the right of way of the Alleys and the Mason Street Property (collectively “Alley Enhancements”),  which shall include the following tasks:  1.Routine Cleaning, Maintenance, and Operation.  Subject to the limitations set forth in Section 4 of the IGA, The DDA will maintain all Alley Enhancements in good condition and repair, including but not limited to maintaining the surface cleanliness of all murals, pavers and concrete surfaces, light standards, attachments, light and other fixtures, trash receptacles, cigarette receptacles, planters and benches.  The DDA will provide a maximum of eight power washings per year for paver surfaces and any adjacent fixed infrastructure.  The DDA will de‐ice slippery areas after snow removal is performed.  The DDA will repair and replace, as required in Section 4.1 of the IGA, all Alley Enhancements, including permanent and movable fixtures (such as benches and trash receptacles) and infrastructure (including pavers and concrete surfaces).  The DDA will also repair or replace as necessary light bulbs, light fixtures and other electrical fixtures.  . 2.Flower Beds, Movable Planters, Hanging Baskets.   The DDA will design, purchase, install and provide routine maintenance of all plant materials, including seasonal plantings, water, fertilizer, and fall cleanup for beds, planters and hanging baskets included in the Alley Enhancements. Should the DDA install annual plants prior to May 15 (average date of last frost), the DDA will bear the cost of replacing annual plants damaged by frost, snow, ice or freezing temperatures.  The DDA will also pay the cost of replacement required because of damage during special events scheduled in the Alleys, except for special events where an event promotor is contractually responsible for such damages. 3.Daily Litter Control.  The DDA will provide litter control and debris removal within the Alleys, except for special events where an event promotor is contractually responsible for cleanup.
