Regular Directors' Meeting
MINUTES OF DECEMBER 2, 1797 REGULAR MEETING
The Board of Directors of the Downtown Development Authority met in
regular session at 7,30 a.m. on December 2 ,1999 in the conference Room
at Home State Bank, 303 East Mountain Avenue.

CALL TO ORDER Ms. Brayton called the meeting to order at 7.35 a.m. and roll call was taken.
APPROVAL OF Mr. Slezak moved to adopt the minutes of November 4, 1999 as written,

CABIN RELOCATION
Mr. Hardy welcomed Jill Gardner Stilwell and Chuck Hagemeister,
FC MUSEUM
representing the Fort Collins Museum, and gave a brief overview of the
scope of the proposed project.
The Museum is seeking DDA participation in the amount of $7,000 for the
first phase of this undertaking. These funds will be used to provide a
wrought iron rail fence to surround the courtyard and extended park area.
This renovation is intended to provide the following enhancements:
* The Franz -Smith historic cabin is to be removed from its current site in
Livermore and set on a concrete slab in the courtyard. This structure is to
be secured from possible vandalism, and later restored.
* The expanded courtyard will provide a venue for weddings, programs,
family reunions and other community activities.
* To make the Museum more accessible to young families and physically
challenged individuals, without disturbing the existing facade.
* To provide a more readily accessible educational opportunity for the
general public.
Mr. Stroud moved to allocate $7,000 to fund this project which was
seconded by Mr. Belcher. Mr. Slezak offered a friendly amendment that
the motion read, 'up to $7,000.' This was accepted by Mr. Belcher and the
motion carried unanimously.
NEW ART (SPACE) Ms. Brayham gave a brief presentation intended to be informational only
in content. New Art (Space) is designed to bring art in its many forms to
the general public. Moving it outside the walls of a traditional museum
environment, making it more accessible in creative yet educational
settings. Revitalizing empty store fronts as gallery space, using empty
warehouses, garages, etc., these units will be lit twenty four hours a day,
and staffed during gallery hours, and each exhibition will have a virtual
presence on the website.
Between four and ten exhibitions are planned annually, with at least one
being the result of a collaborative effort between high school students and
an area artist. Exhibits will be designed not only to brighten unused spaces,
but to educate, enlighten and generate thought and discussion. These
exhibits will be free to the public, can be put in place quickly making art
much more accessible than is sometimes the case in more formal settings.
231 SOUTH HOWES Mr. Slezak declared a conflict of interest and declined to take part in the
discussions. Funds were committed to this project in December 1998, so
the twelve month time frame has expired and requires a Board vote to
formally recommit the funds. The construction on this project is well
underway, and so Mr. Belcher moved to extend the commitment for an
additional twelve months. This was seconded by Mr. Meadors and carried
unanimously.
LPC UPDATE Mr. Bud Frick reported many projects underway at this time. He specifically
referred to the Winslow Guard House at 730 West Olive. State Tax Credit
Reviews have taken place for projects which have been completed; one
of these being 226 Peterson Street. Also the relocation of an old garage
constructed from water pipe staves. This has been placed in a bam at the
Water Works, and the Commission is looking for a site where it can be put to
use, since the walls, floor and roof are all made from the wooden staves.

EXECUTIVE SESSION Mr. Meadors moved that the Board recess to executive session for
the purpose of discussing personnel evaluations for Jay Hardy and Anne
Garrison, this was seconded by Mr. Stroud. Ms. Garrison excused herself
from the room, and Mr. Hardy followed shortly thereafter.
Mr. Meadors moved to conclude the executive session, this was seconded
by Mr. Slezak and carried unanimously.
OTHER BUSINESS Christmas Party
An open house co -hosted by the Downtown Development Authority and
Downtown Business Association is planned for December 16, 1999 at
the Edwards House between the hours of 5:30 p.m. and 7:30 p.m.
Monthly Flnanelal Report
The format for this first report was deemed acceptable by the Board, and
in addition, Ms. Brayton requested that a quarterly report of outstanding
commitments be provided. It was also requested, that as information
surfaces with regard to businesses or properties being sold or going out of
business that Mr. Hardy make this information available to the Board, in
order that DDA might be in a proactive position.

RE: Baptist Church Project Commitment
As is DDA's process, commitments are signed for a period of one year for projects,
which the Board agrees to support. The DDA committed $50,000 to the restoration of
the church. This commitment is now expired, and needs to be re-evaluated by the Board.
Over a period of time, I have had numerous meetings with property owner, Michael
Gaines, in an effort to monitor the progress of the project. Equally, the City of Fort
Collins (the State of Colorado Grant Administer for the project) has expressed interest.
The project has been awarded a state historical grant, which requires matching funds of
approximately $160,000. Currently, DDA's $50,000 is slated to be the last segment of
these funds. However, the project has been unable to secure the additional $110,000
needed. Additionally, the State has requested an adjusted timeline for the project. This
timeline would require construction to begin in the late Spring, 2000.
In an effort to continue to support the project, while not curtailing DDA monies, I
recommend we extend our commitment, and adjust it to be in line with the matching
funds requirement timeline. This would entail a 6-8 month project commitment for these
funds.
As the new year begins, a few special projects have emerged which may warrant our
participation. I believe it is very important to keep funding as flexible as possible, while
staying committed to this project.

The DDA and DBA have entered into an agreement for services in the past. Last year the
relationship was spelled out in a letter signed by the President of the DBA and Chair of
the DDA. Attached is an updated letter for DDA Board consideration and approval via
Resolution 00-1.

The Downtown Development Authority Board of Directors has approved the renewal of the
DDA-DBA relationship as established by the jointly signed letter of January 14, 1999. It
has made a few changes (bold faced below) to accommodate the hiring of a new DDA
executive director.
Toward that end and with the DBA's mutual agreement, the two organizations agree to the
continuation of the following arrangement:
The DDA will employ an administrative office manager whose services will be made
available to the DBA providing that:
A. Those services provided by the DDA on behalf of the DBA are consistent
with the purposes of the DDA as provided for by statute;
B. The responsibilities and obligations of the administrative office manager to
the DDA are not compromised and that supervision of this position rests
solely with DDA executive management services and/or the DDA Board of
Directors;
C. That the administrative office manager engages in no activity not permitted
by the laws and regulations governing the activity of a public employee.
2. The Downtown Business Association will pay $8,000 to the DDA to defray costs
associated with the administrative services provided by the DDA;
The Downtown Business Association will continue to perform marketing and
promotional services at a financial level equal to or in excess of the 1999 program;
4. The Downtown Development authority will remain a member of the Downtown
Business Association with annual membership dues of $2,000.
The parties agree to pay on a pro rata basis all other shared costs including but not
limited to rent, janitorial, telephone, office supplies, computer charges. Office rent
paid by the DDA to the DBA will increase based upon the square footage utilized by
DDA executive management services and will be charged at the square footage rate
established by the lease between the Downtown Business Association and
Progressive Old Town Square.
6. The DBA continues to provide one seat on its Board of Directors to the Downtown
Development Authority.
The DDA Board of Directors resolution authorizing the Chair to sign the letter of agreement
is attached.

AUTHORIZING THE CHAIR TO ENTER
INTO A LETTER OF AGREEMENT WITH THE
DOWNTOWN BUSINESS ASSOCIATION FOR THE
PROVISION OF RECIPROCAL SERVICES
WHEREAS, the Fort Collins Downtown Development Authority has been duly
organized in accordance with the Colorado Revised statutes 31-25-804, 1973 as
amended; and,
WHEREAS, the Downtown Development Authority and the Downtown Business
Association find it to be in their mutual interests to work together for the improvement of
the central business district; and,
WHEREAS, the Downtown Development Authority finds the activities of the
Downtown Business Association to be consistent with and to partially fulfill the statutory
purposes of the Downtown Development Authority; and,
WHEREAS, the parties understand that a mutual working relationship shall be in
accordance with all applicable law governing the operation and conduct of a public body
and public employees.
NOW, THEREFORE, BE IT RESOLVED by the Fort Collins Downtown
Development Authority that it hereby authorizes the Chair to enter into a letter of
agreement with the Downtown Business Association to share in the mutually beneficial
services as described in the letter attached hereto and incorporated herein. Term of this
agreement shall be for the 2000 calendar year.
Passed and adopted at a regular meeting of the Board of Directors of the Fort Collins,
Downtown Development Authority this 6"day of January, 2000.

As we begin to plan for the future of DDA, I believe a website presence would be an
important informational and marketing tool.
I have been working with David Short, DBA Executive Director, regarding the possibility
of DDA being added to the current website already in operation. The DBA site is
www.downtownfortoollms.com, which is currently in use for many different downtown -
related marketing/events. The cost of adding a full section to this site is between $2,500-
$3,000. RGB Studios, located in the Harmony Mill would do the work. Their proposal is
attached.
Jason Meadors and I have been working out the specific needs for this site, and he is
concerned that the site construction seems expensive. We have other opportunities for
website hosting and maintenance, which may be less expensive, but would not be on the
downtownfortcollins.com site. A City link has been investigated, but access is
cumbersome.
May I suggest the Board consider the following:
1. Continue to work on refining another, less expensive plan with another
domain name
2. Commit up to $3,000 for the addition to the downtownfortcollins site
3. Defer a decision until a later date
If the Board chooses to participate, we currently have $100,000 in our project fund for
FY 2000.

Insert a link on the DTBA site that will link to the new DDA site.
Our graphic designer will create icons for each of the items above and create a banner for
the associated page. The content for the pages will be provided by the DDA. After the
graphics are created the site will be built in HTML for use on the web.
Front page of site will have a script that will allow for easy changes to the page. New
image insertion and copy for the page.
Property Search Database
Usage:
Property owners or realtors with listing in the downtown area can submit a listing to the
DDA that will be listed on the DDA site. The form will include property information
with info to be determined by the DDA before work on database begins. Once the form
is submitted to the DDA the request can be approved by "turning the listing on" which
will make it live for the world to see off the web site. Or rejected which will delete the
info from the database.
Property will be displayed in order of submission date. Listing can either be manually
removed from the site by the admin or we can set up a time stamp that will remove
listings after "A" number of days.

Performing Arts Center. The City and County continue to work on securing the
present courthouse location for this facility. Currently, the County is reviewing possible
ballot language for voters to approve a change of fund use from `renovation of the
existing facility' to that of new construction. This would allow the site to be used for the
Performing Arts Center. More to come.....
Civic Center Parking Structure. Current allocations in the garage are as follows:

The City of Fort Collins is currently preparing to issue permits to the remainder of
individuals on the waiting list, consisting of 50. Although an `oversell' of 130% has
often been mentioned, the City is targeting a number of 115% due to an apparent
decrease of `potential non -users' of permits. In other words, the City estimates the actual
usage of permits issued for this structure to be higher than the Remington parking ramp.
Project financing. The financing package for the Armstrong Hotel, Trolley Station and
the Four Corners project is scheduled for City Council review at the end of February,
2000.
